VermontHayDay.com TO RELEASE YOUR INFORMATION TO ANY PROPERLY IDENTIFIED
OFFICIAL AND/OR AGENCY INVESTIGATING SUCH ACTIVITY THAT HAS BEEN
IDENTIFIED AS ILLEGAL BY LOCAL OR FEDERAL AGENCIES, AND TO THE TRANSFER OF SUCH
INFORMATION WITH OUT WARRANT.
LICENSE
TERMS(DEFINITIONS):
For the purposes of this
Licence/Agreement:
(i) VermontHayDay.com henceforth will
be known as the 'database';
(ii) Person(s) posting an
add henceforth will be know as
'you' or 'postee'.
1. Grant
of service(s) for Registered Members/Users of the 'database'
:
Small Networking Assistant, grants you
a non-exclusive, non-transferable license to use the 'database' for posting
a/an add(s) to the 'database', for the purposes of selling and/or purchasing
items posted.
(i) The 'database' WILL NOT be
modified,down-loaded or up-load
by you and used outside the scope from which it is intended to used;
(ii) all copyright notices are maintained, and
(iii) you agree to be bound by the terms of this
License/Agreement.
The 'database' shall be used
by you, for your own personal or business use, and not in the operation of
a service bureau or for the benefit of any other person or third party entity.
Small Networking Assistant can not, and will
not be held liable for the loss of any information, miss information,
deleted information, modified information, corrupted information, either it be
by an act of god, or error by any Small Networking Assistant, Agent and/or
Representative, or system hacker, nor shall Small Networking Assistant
be held liable for any loss in any form by server downtime.
A
Privacy Policy is provided in
regards to how your information will be used. Use of the 'database'
constitutes that you have read, understand, and acknowledge your rights and the
rights of Small Networking Assistant in regards to the use of your information
in the 'database', and that you consent to the
Privacy Policy

Your use of this 'database' constitutes as
a waiver of liability, from any type of litigation for the afore
mentioned.
2. Ownership :
You have no
ownership or copyright(s) or rights to the 'database'. Sole
ownership belongs to Small Networking
Assistant.
You have a license/agreement to use
the 'database' as long as this license/agreement remains in full force and in
effect.
Ownership of the 'database', and all
intellectual property rights therein shall remain at all times with Small
Networking Assistant. Any other use of the database by any person(s),
business(s), corporation(s), government organization(s) or any other entities is
strictly forbidden and is a violation of this license/agreement. Unless
said entity has written permission from Small Networking Assistant.
3. Copyright :
The
'database' and documentation contained therein is/may be protected by United States Copyright Law(s)
and trade secret law(s), and by international treaty provisions.
All rights not granted to you herein are
expressly reserved by Small Networking Assistant.
4.
Restrictions
:
You may not publish, display,
disclose, rent, lease, modify, loan, distribute, or create derivative works
based on the 'database' or any part thereof. You may not reverse engineer,
de-compile, translate, adapt, or disassemble the 'database', nor shall you
attempt to create the source code from the object code for the 'database' with
out the written consent of Small Networking Assistant and it's third party
vendors if so applies. There may be third party licenses that
apply.
5.
Confidentiality :
You
agree to reasonably communicate the terms and conditions of this
License/Agreement to any person(s) employed by you who comes into contact
with the 'database', and to ensure their compliance with such terms and
conditions, including, without limitation, not knowingly permitting such persons
to use any portion of the 'database' for the purpose of deriving the source code
of the 'database'.
6. Limitation of
Liability
:
IN NO EVENT WILL SMALL NETWORKING ASSISTANT.
BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES
(INCLUDING, WITHOUT LIMITATION, INDIRECT, SPECIAL, PUNITIVE, OR EXEMPLARY
DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF
BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE
'DATABASE', OR FOR ANY CLAIM BY ANY OTHER PARTY.
THIRD PARTY VENDORS OF THE
'DATABASE' CAN NOT BE HELD LIABLE
IN ANY FORM. CONTACT SMALL NETWORKING ASSISTANT FOR A LIST OF THIRD PARTY
VENDORS OF THE 'DATABASE' .
7. Termination :
This License/Agreement is effective
until it is terminated. You may terminate this License/Agreement at any
time BY REMOVING YOUR CLASSIFIED FROM THE 'DATABASE'. Once a CLASSIFIED expire
your License/Agreement is terminated
Small Networking
Assistant may terminate this License/Agreement for any reason, including, but
not limited to, if Small networking Assistant finds that you have violated any
of the terms of this License/Agreement.
All provisions relating to confidentiality, proprietary rights, and
non-disclosure shall survive the termination of this License/Agreement.
8. General :
This License Agreement shall
be binding and governed by the Local, State, and Federal laws. Without regard to conflicts of law provisions
thereof.
The exclusive forum for any disputes
arising out of or relating to this License/Agreement shall be any federal or
state court.
Regardless of sopheana or summons,
any party(ies) wishing to name Small Networking Assistant as a witness or as party(ies) of litigation, out
of use and/or non-use of the 'database' in any form of litigation civil or criminal.
Agrees to pay in full in advance any type of travel
and/or boarding expenses, loss of income, and/or $50.00/per
hour to include travel time to and from the Court/Mediation/District building(s)
in what ever state regardless of state or federal
law/statute.
This License/Agreement shall
constitute the entire License/Agreement between the party(ies) hereto. If any part
of this License/Agreement is found invalid or unenforceable by a court of
competent jurisdiction, the remainder of this License/Agreement shall be
interpreted so as to reasonably effect the intentions of the party-(ies) and Small
Networking Assistant.
9. No
Warranty:
Small Networking Assistant
AND ITS SUPPLIERS PROVIDE THE 'DATABASE' AND SERVICES "AS
IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS(ED), IMPLIED OR
STATUTORY. Small Networking Assistant AND ITS
SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE,
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
** Some states do not allow the disclaimer
of implied warranties, so the foregoing disclaimer may not apply to you. This
warranty gives you specific legal rights and you may also have other legal
rights that vary from state to state.
10.
Release.
Because Small Networking
Assistant is not involved in the actual transaction between buyers and
sellers, in the event that you have a dispute with one or more users, you
release Small Networking Assistant (and its
owner, agents, subsidiaries and employees) from claims, demands and damages
(actual and consequential) of every kind and nature, known and unknown,
suspected and unsuspected, disclosed and undisclosed, arising out of or in any
way connected with such disputes.
